Governance

At FBA, strong governance underpins everything we do. It ensures our services are reliable, ethical, and accountable, and it builds trust with our partners, funders and the community. Guided by the strategic direction of our Board, we approach all our work with integrity and a clear commitment to transparency.

Our approach

Fitzroy Basin Association (FBA) is a Company Limited by Guarantee, registered under the Corporations Act 2001. We meet all statutory legal and governance obligations, supported by our Constitution, Corporate Governance Charter, and a comprehensive suite of policies and procedures.

Our Board has adopted the corporate governance principles recommended for entities listed on the Australian Securities Exchange (ASX). These principles guide the management and oversight of our organisation and form the foundation of our Governance Framework.

Financial governance is overseen by the FBA Board Finance, Audit and Risk Committee, which meets bi-monthly under a formal charter and reports directly to the Board.

FBA is committed to excellence in organisational, project, and program governance. To achieve this, we maintain current and comprehensive policies across:

  • Governance

  • Communication

  • Finance

  • Human Resources (HR)

  • Work Health and Safety (WHS)

These policies ensure compliance with legislation while also reflecting industry best practice.

We take our responsibility to the community and our members seriously. Each year, we report to our stakeholders through our Annual General Meeting (AGM). We also share updates and insights throughout the year via our website, newsletters, social media channels and community events.

FBA is dedicated to ethical procurement, responsible human resource management, and environmental sustainability. Our Business Ethics Statement outlines our core principles:

  • Ethics and integrity

  • Transparency and accountability

  • Sustainability

We take great care to ensure that all public funds are managed responsibly and with accountability.

Continuous improvement is part of our DNA. We have completed three independent Performance Excellence Reviews, achieving near global best-practice ratings in areas such as Leadership, Corporate Strategy and Planning, and People Focus.

In addition, a recent organisational culture assessment using the Barrett Model (© Barrett Values Centre) awarded FBA a culture score of 74—well above the global average of 51 and the industry average of 55.

FBA's Strategic Plan

FBA’s Strategic Plan sets the direction for how we work with the central Queensland community to grow a region that is sustainable, productive and profitable. It defines our purpose, vision and legacy, and outlines the goals, strategies and success measures that guide our impact.

Reviewed annually, the plan stays relevant and responsive to evolving priorities. To put strategy into practice, our CEO develops an Annual Operational Plan, a roadmap that translates big-picture goals into action. This ensures we stay focused on long-term objectives while delivering measurable outcomes across the region year by year.

Our Board

FBA's Board brings together a diverse mix of strategic thinkers who share a deep passion for preserving and enhancing the Fitzroy Region's natural resources. Each member contributes unique expertise and experience, guiding our organisation with integrity and vision. Together, they provide the leadership and oversight that ensures FBA continues to deliver positive, lasting outcomes for our region.
